VALLEYCARE CHARITABLE FOUNDATION

On june 28, 2021, the hospital committee of the livermore-pleasanton areas doing business as stanford health care-valleycare (shc-vc) entered into a merger agreement with valleycare charitable foundation (vccf). Shc-vc is the owner and operator of a general acute care hospital, and vccf's purpose was to solicit, receive, and maintain gifts for the hospital. Under the merger agreement, vccf would be merged with and into shc-vc. The merger of vccf and shc-vc was consummated and became effective on july 12, 2021 upon the filing of the merger agreement with the secretary of state of california, leaving shc-vc as the sole surviving corporation. The last day of vccf's existence as a separate corporation was on july 11, 2021, and vccf transferred its remaining funds to shc-vc on july 13, 2021.
